DECLARATION OF RIGHTS AND AUTHORIZATION FOR DIGITAL CONTENT DISTRIBUTION

Hafrikplay Limited ("Hafrikplay") is a legally registered digital music distribution and streaming platform that provides artists with tools to upload, distribute, and monetize their content. This declaration serves as formal evidence that Hafrikplay has obtained all necessary intellectual property rights, licenses, and permissions for the audio and video content made available through its platform and mobile application.

This document is submitted in response to Apple's request for evidence of compliance with App Store Guideline 5.2.3 – ‘Legal’, specifically regarding the authorization of third-party audio and video streaming, catalogs, and discovery services.

2. Ownership of Content and Licensing Agreements

Hafrikplay confirms that all content available on its platform is lawfully acquired through the following licensing frameworks:

A. Direct Licensing from Artists and Click-Wrap Agreement

• ●  Artists and rights holders who distribute their content through Hafrikplay must sign a click-wrap agreement before uploading their music.

• ●  By accepting this agreement, artists grant Hafrikplay a non-exclusive license to upload, distribute, and monetize their songs.

• ●  Each artist explicitly confirms that:
  ○ They are the rightful owner of their content or have obtained the necessary rights

  for distribution.
  ○ Their content does not infringe upon any third-party rights.
  ○ Hafrikplay is authorized to use, distribute, and exploit their works as per the agreed terms.
  ○ The user also indemnifies Hafrikplay against any copyright infringement claims by so doing.

B. Licensed Content from Distribution Agencies

• ●  Hafrikplay is also in the process of executing formal agreements with reputable music distribution agencies, granting the platform rights to host and distribute various music catalogs.

• ●  These agencies have legally warranted that:

  • ○  They have secured all necessary intellectual property rights for the distribution of

    content.

  • ○  They have the legal authority to grant Hafrikplay a license for streaming and

    monetization.

○  All licensed content is legally acquired and does not infringe upon third-party

rights.

3. Compliance with Intellectual Property Laws and Apple Guidelines

Hafrikplay operates in full compliance with:

A. Nigerian Intellectual Property Laws governing copyright and digital rights.

B. International copyright standards, including the Berne Convention and the WIPO Copyright Treaty.

C. Apple’s App Store Guidelines, ensuring that no unauthorized content is made available on the platform.

4. Prevention of Unauthorized Content & Copyright Infringement

Hafrikplay enforces a strict Intellectual Property Protection Policy to prevent unauthorized use of copyrighted content. Our platform includes:

• ●  A click-wrap agreement, ensuring that every artist explicitly grants Hafrikplay the right to distribute their music.

• ●  A content verification process before music or videos are made publicly available.

• ●  A takedown policy to remove any infringing content upon receiving a valid claim.

• ●  A rights management system that ensures only authorized users can upload and

  distribute content.

  Hafrikplay does not permit unauthorized access to third-party streaming services or catalogs without explicit legal consent.

5. Governing Law and Dispute Resolution

This declaration shall be governed by and interpreted in accordance with the intellectual property laws of Nigeria. Any disputes shall be resolved as per the dispute resolution mechanisms outlined in Hafrikplay’s licensing agreements.
